Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Black Pearl Web Design And Promotion services provided by Black Pearl Web Design And Promotion, LLC ("we", "us", or "our"). Please read these Terms carefully before engaging our services.

1. Scope of Services

Black Pearl Web Design And Promotion, LLC agrees to provide the client with Black Pearl Web Design And Promotion services as outlined in a mutually agreed-upon Statement of Work (SOW) or service agreement. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising management, social media marketing, and content creation. The specific deliverables, timelines, and scope will be detailed in the SOW.

2. Client Obligations

The client agrees to provide all necessary information, access to accounts (e.g., website backend, ad platforms), and creative assets required for Black Pearl Web Design And Promotion, LLC to perform the services. The client is responsible for the accuracy and legality of all materials provided to us. Timely feedback and approvals from the client are essential for meeting project timelines.

3. Payment Terms

Payment for services will be made according to the terms specified in the SOW or invoice. Services are typically billed on a recurring monthly basis. Invoices are due upon receipt unless otherwise stated. Failure to make timely payments may result in a suspension of services. All payments are non-refundable.

4. Confidentiality

Both parties agree to keep confidential all non-public information obtained from the other party during the course of the service engagement. This includes business strategies, client data, performance metrics, and any proprietary information. This obligation of confidentiality shall survive the termination of our service agreement.

5. Intellectual Property

The client retains all intellectual property rights to their pre-existing materials provided to Black Pearl Web Design And Promotion, LLC. Any new content, designs, or campaign strategies created by Black Pearl Web Design And Promotion, LLC specifically for the client as part of the paid services will become the property of the client upon full payment for those services. Black Pearl Web Design And Promotion, LLC retains the right to use its general knowledge, skills, and experience, as well as any non-client-specific ideas or strategies developed during the engagement.

6. Limitation of Liability

Black Pearl Web Design And Promotion, LLC will make every effort to achieve the client's marketing goals, but we do not guarantee specific results or outcomes. The Black Pearl Web Design And Promotion landscape is constantly changing, and performance can be affected by factors beyond our control. In no event shall Black Pearl Web Design And Promotion, LLC be liable for any lost profits, or any indirect, special, incidental, or consequential damages arising out of or in connection with our services.

7. Term and Termination

The term of the service agreement will be specified in the SOW. Either party may terminate the agreement with a 30-day written notice. Upon termination, the client is responsible for all fees incurred up to the date of termination. Black Pearl Web Design And Promotion, LLC will cooperate in the transition of all account access and data back to the client.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Black Pearl Web Design And Promotion, LLC is registered, without regard to its conflict of law provisions.
